USMR INTERNET SERVICES AGREEMENT

This Agreement has been created for use by and between U.S. Mortgage Reduction, Inc., hereinafter referred to as USMR, and authorized EAP (and/or Debt Free USA) Representatives or "users" wishing to purchase various Internet services from USMR for their personal or business use. U.S. Mortgage Reduction, Inc. is a corporation organized under the laws of the State of Florida.

Along with certain of our company policies, the terms and conditions for use of our Internet services are provided in the following pages to assist users in fully understanding their obligations.

NOTE: In the following text, the terms "World Wide Web", "WEB", "INTERNET", "NET" or are used interchangeably and have identical meaning in the context of this Agreement. Further, a "user" as referenced below shall refer to an EAP (and/or Debt Free USA) Representative who has purchased Internet services from USMR. USMR offers several websites, including (Click site name to view sample) www.usmr.net, www.usmortgage.net, and www.debtfreeusa.net. All USMR websites under this agreement shall be inclusively referred to as WWW.USMR.NET.

1. EXPLANATION OF SERVICES TO BE PROVIDED

USMR, upon receipt of an appropriate fee, shall set up for user certain Internet services as requested by user. Such services include inbound e-mail services and web site services for use in our Representative web site, WWW.USMR.NET. Each web site has certain restrictions on its sale: The EAP client site requires purchase of Combo 5 ($299 - see #10 below for a description of Combo 5) or the MortgageFREE master disk ($195); the recruiting site requires that you be eligible to recruit; and the Debt Free USA site requires purchase and unlocking of the Debt Free USA program disk.

2. MAINTENANCE AND UPGRADING OF SITE DURING USAGE TERM

USMR hereby agrees to provide the contemplated Internet services to user pursuant to this agreement. USMR is the author and owner of the host site WWW.USMR.NET and hereby allows user to maintain an electronic business address or site at the host site (e.g. JOHNSMITH@USMR.NET or WWW.USMR.NET/JOHNSMITH.) Please choose each user name carefully, using only lower case letters (no numbers or symbols such as #$%&,.!*). If you change a user name after the site has been created, there will be a $50 User Name Change Fee to cover the cost of creating the new web site and any applicable master disk. USMR may, at its discretion, update and improve the host site as USMR deems appropriate from time to time. Updates of personalized sites (to match the look of the current stock sites) are available at this time for just $10 per site.

3. CHANGES TO USMR INTERNET SITE

Under no conditions shall user be allowed to make any changes to the web site at WWW.USMR.NET itself. USMR must approve and implement all changes to any web site located at the host address, WWW.USMR.NET. Should user implement any scheme, device or mechanism to successfully unlock the codes, user shall be considered in violation of this agreement, and Internet services and USMR position shall be subject to immediate termination upon discovery.

4. ADDRESS USED WHEN APPLYING FOR AN INTERNET SITE

The address you list on the USMR Internet site application form should match your current mailing and/or shipping address on file at USMR. If for any reason it does not, your signature on the form authorizes USMR to update our files to reflect your address as shown on the USMR Internet site form. (NOTE: You are required to keep USMR up-to-date on your contact information by sending in a Change of Address form, but you need to separately request us to update your web sites (Click here) and Master Disks. The update fee is currently $10 per site or disk.)

5. DISCLOSURE OF REPRESENTATIVE'S NAME ON WEB SITE

To avoid the possibility of web site visitors mistaking your site for one of our USMR "company" sites, your "home page" or primary screen must clearly identify you as an Independent Representative of USMR's EAP or Debt Free USA program. Therefore, your name will be listed in your Internet site. You may also include your USMR ID# and your business name, if you so desire.

6. SETUP OF YOUR NEW INTERNET SITE

Upon receipt of your E-Mail/Web Site order form, USMR will set up and place your site "on-line", and begin service. Your Support Rep will notify you that your site is on-line. You have ten (10) business days to notify USMR of any concerns you have regarding the personal information in your site. NOTE: Once any errors made on your site have been corrected OR it has been "on-line" for longer than 10 business days, any requests to change your personal information will be subject to a Web Site Change Fee, currently $10 per site. Since you are using our network site (WWW.USMR.NET), only we can change the content of your USMR web site. This policy is in place to ensure that the content of any web site associated with our corporate name is appropriate and professional.

7. OWNERSHIP OF INTERNET SITE

USMR is the author and owner of all "stock" web sites offered for use at our primary user site, WWW.USMR.NET. Under no conditions shall USMR assume any liability for your use of the site, nor shall USMR be liable for errors of any type associated with its use. 

8. COMPLIANCE WITH TERMS, CONDITIONS & POLICIES

As a user of our Internet services, you agree to comply with all current Terms, Conditions of Use and Policies as provided herein, which are subject to periodic change. To keep current on this information, please refer back to this portion of our site, as updates may be made frequently.

9. LIMITATION OF SERVICES OFFERED

USMR will provide its Internet services only to authorized EAP (and/or Debt Free USA) Representatives in good standing. The fees associated with use of our services depend upon whether e-mail and use of 1, 2, or 3 web sites is selected. We currently offer these three selections.

Links to other sites cannot be placed on USMR's sites. If you wish to link to your USMR site from an outside site, please submit the url to USMR for approval before placing the link.

Due to restrictions placed by our service provider to prevent "spamming," your usmr.net e-mail address can be used only to receive inbound e-mails. You will need to use another service provider to send outbound e-mails. If your outbound provider allows you to specify a "reply to" address, we suggest that you use your usmr.net address as your 'reply to" address. 

In order to use the e-mail link from your 'contact' pages, your prospect's e-mail program must be resident on their computer (i.e., Outlook Express or Netscape). If they are using an online e-mail program, such as Yahoo or Hotmail, your e-mail link will not necessarily open their e-mail program. In that case, they will simply log into their program and paste in your email address or enter it by hand.

For your protection, and to keep our fees as low as possible, USMR does not register reps’ web sites with any search engines. You may personally register your web site(s) with the search engines of your choice.

10. PRICES & SET-UP FEE FOR USMR E-MAIL PLUS WEB SITE USE

For those who would like to combine our e-mail services with use of their own USMR Internet site (s), we offer a "package" of these two services at the following prices. A six (6) month minimum service period is required.

The six month fee for combined e-mail and (1) web site services is currently $89.94 ($14.99/ month average) plus a $25 account set-up administrative fee. For those who would like to purchase this combination for a period of one year, our price is $179.88 and we'll waive the set-up fee entirely!

The six month fee for combined e-mail and (2) web site services is currently $143.94 ($23.99/ month average) plus a $25 account set-up administrative fee. For those who would like to purchase this combination for a period of one year, our price is $287.88 and we'll waive the set-up fee entirely!

The six month fee for combined e-mail and (3) web site services is currently $179.94 ($29.99/ month average) plus a $25 account set-up administrative fee. For those who would like to purchase this combination for a period of one year, our price is $359.88 and we'll waive the set-up fee entirely!

We also offer Combination 5 - which includes all three web sites for 6 months, plus the MortgageFREE and SuccessTEAM (Click for sample) Master Disks. This combination has a retail value of $595, but is currently offered for only $299!

Certain optional add-ons are available for selected USMR sites at reasonable fees. 

EAP Recruiting Site options: Online Rep Signup ($25); SuccessTEAM Master Disk ($195); Add Kit Order Form to SuccessTEAM Master Disk ($10); Add SuccessTEAM presentation to site ($25 after purchase of Combo 5 or SuccessTEAM Master Disk); Streaming Audio & Video ($24 for 6 months, $48 for 12 months, $4 per month upon site renewal).

Policies regarding the Online Rep Signup: USMR will reimburse you $50 towards your recruiting expenses ONLY for those prospects who were registered and "protected" as Option #3 under your USMR ID# within 6 months prior to enrolling as Regional Managers. If a prospect who is not currently protected as an Option #3 signs up (by mail, fax, phone, or online through your web site), you will earn your normal overrides on his client enrollments, but you will not be entitled to the $50 recruiting reimbursement. USMR will notify you of any new reps who have enrolled in your downline through the normal Downline Reports.

EAP Client Site options: Streaming Video ($24 for 6 months, $48 for 12 months, $4 per month upon site renewal); Online Client Application ($59.70 for 6 months, $119.40 for 12 months, $9.95 per month upon site renewal) - Click here for addendum (required). 

Policies regarding the Online Client Application: All payments will be made payable to USMR and will be included with the application and voided check that is to be sent by the client directly to USMR. You will be notified by email when a client enrolls and you will receive your commission on the Enrollment Fees as per Schedule A of your Independent Representative Agreement. USMR will retain all $25 Application Fees for EAP Online Client Enrollment Applications. Residents of restricted areas (not permitted to enroll on the biweekly program) will be told to contact you by email about USMR's client managed Loan Acceleration Program (CMP), which does not have an online signup. If you are not eligible at that time to sell the CMP, you shall either purchase the CMP or refer your clients to USMR so they can be enrolled on the CMP by an eligible rep.

11. RENEWAL OF SERVICE

For your convenience, USMR offers automatic renewal to protect you from service interruption at the end of your prepaid term. We will automatically charge your credit card monthly in the amount you authorize, or, for a $5 processing fee, at your request, we can send you an invoice for the upcoming 6 or 12 month term and you can send in a check or money order.

12. TERMINATION OF SERVICE

EAP Representative may terminate e-mail or web site services upon written request at any time. If you are voluntarily discontinuing service, please mail us a signed statement with your instructions. This notification from you will be kept in your file. There are no refunds, prorates, or credits allowed.

Internet services may be discontinued for non-payment of services or misuse of Internet services. Unless USMR receives payment for renewal of your web services on or before the anniversary date of renewal, our computer is programmed to disconnect your services automatically. To reinstate your services after disconnection, the set-up fees will be in effect for services purchased in six month increments.

13. TERMINATION DUE TO MISUSE OF SERVICE

While we hope that everyone will use our web services in an honest, professional manner, we do understand that there are "vagabonds" who choose to do as they please. In consideration of this, should USMR discover that any Representative has used a web site at WWW.USMR.NET in any way which could reflect unfavorably on the company, or be considered "unprofessional business conduct", or a breach of this agreement or any other agreement on file, USMR reserves the right to immediately interrupt and terminate Internet services and the Representative’s position with or without notice at its sole discretion and without formality. Except in cases where USMR has determined there is a breach of contract, USMR shall be required to provide at least 30 days advance notice of termination.

14. COMPLIANCE WITH LAWS

User hereby agrees to comply with all federal and/or state laws with respect to use of the USMR Internet services.

15. INTERRUPTION OF SERVICE

In order to provide the Internet services described in this Agreement, USMR contracts with secondary service providers. USMR cannot be held responsible should service interruptions occur due to events beyond its control, such as, but not limited to, phone line interruptions, equipment malfunctions, software problems, or any similar technical difficulty. In the event that a service interruption is experienced, USMR will take all available steps to promptly correct the problem and place the system back "on line." However, USMR offers no warranties or guarantees with respect to its services.

16. LIMITATION OF LIABILITY

Neither U.S. Mortgage Reduction, Inc. nor any of its service providers, employees, content providers, or any other person or company with a similar role, shall be held liable for any direct, incidental, special or consequential damages arising out of the use of the service or inability to use the service or out of any breach of any representation or warranty.

17. CHOICE OF LAW

This Agreement originated from U.S. Mortgage Reduction, Inc. whose corporate offices are located in the State of Florida. Therefore, this Agreement and the rights of the parties hereto shall be governed by the laws of the State of Florida. Any action pursuant to this Agreement must be filed in Martin County, Florida. User waives all change of venue privileges.

18. SEVERABILITY

A judicial determination that any provision of this Agreement is invalid in whole or in part shall not affect the enforceability of the remaining provisions.

19. TITLES

The titles to the paragraphs of this Agreement are solely for the convenience of the parties, and are not an aid in the interpretation of this Agreement.

20. ENTIRE AGREEMENT

This Internet Services Agreement, as published in our Internet site at WWW.USSUPPORT.COM, along with any EAP Representative Agreement(s), including, but not limited to, the Independent Representative Agreement, shall collectively represent the entire understanding between USMR and users of its Internet services.
